Service availability and specific deliverables are subject to agreement through our engagement process. We reserve the right to modify or discontinue services with appropriate notice to existing clients.
4. User Responsibilities

- Fees are quoted in Malaysian Ringgit (RM) unless otherwise specified

- Invoices are due within 30 days of issuance unless otherwise agreed
- Late payments may incur interest charges as permitted by law
- We accept payment via bank transfer or other agreed methods
Pricing may be subject to change with notice. Existing engagements will be honored at agreed rates.
7. Service-Specific Terms

7.2 Client Cooperation
Effective service delivery requires your cooperation, including timely provision of information, access to necessary systems, and participation of appropriate personnel. Delays caused by lack of cooperation may affect timelines and costs.
7.3 Scope Changes
Changes to agreed service scope will be documented and may result in adjustments to timelines and fees. Both parties must agree to scope changes before implementation.
8. Disclaimers
Our services are provided on an "as is" basis. We make no representations or warranties beyond those explicitly stated in service agreements.
No Guarantee of Results: While we work diligently to provide quality services, we cannot guarantee specific outcomes, as AI implementation success depends on multiple factors including data quality, organizational readiness, and external conditions.

9. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability for any claims arising from our services shall not exceed the fees paid for those specific services
- We are not liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption
- We are not liable for damages resulting from factors outside our reasonable control
- Time limits for bringing claims are as specified by applicable law
Nothing in these terms limits liability for fraud, intentional misconduct, or matters that cannot be limited by law.
10. Indemnification
You agree to indemnify and hold harmless Veridian Tech, its officers, employees, and agents from claims, damages, and expenses arising from your violation of these terms, misuse of our services, or infringement of third-party rights.
11. Confidentiality
Both parties agree to maintain confidentiality of sensitive information shared during our engagement. This obligation continues after termination of services. Exceptions include:
- Information that is publicly available
- Information required to be disclosed by law
- Information disclosed with written consent
- Information independently developed without use of confidential materials
12. Termination
12.1 Termination Rights
Either party may terminate services according to terms specified in service agreements. Termination does not relieve obligations for work completed or payments due.
12.2 Effects of Termination
Upon termination, you must cease using our services and materials. Confidentiality obligations, payment obligations, and limitation of liability provisions survive termination.
13. Dispute Resolution
13.1 Governing Law
These terms are governed by the laws of Malaysia. Any disputes will be subject to the exclusive jurisdiction of Malaysian courts.
13.2 Informal Resolution
Before pursuing formal proceedings, parties agree to attempt good-faith resolution through direct communication and negotiation.
14. General Provisions

These terms, together with any service agreements, constitute the entire agreement between parties regarding the subject matter.
